1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you") and INNOVASFT PTE. LTD. ("INNOVASFT," "we," "us"), a company registered in Singapore. By downloading, installing, accessing, or using any of our applications ("Apps"), you agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you must discontinue use of our Apps immediately.
2. Eligibility
You must be at least 13 years old (or the equivalent minimum age in your jurisdiction, such as 16 in certain EU member states) to create an account with us. If you are under the legal age of majority in your jurisdiction, you must have permission from a parent or legal guardian to use our Apps.
3. Our Services
INNOVASFT develops and publishes premium mobile applications designed to help people solve problems, save time, and improve everyday living. Our Apps are distributed primarily through the Apple App Store and may also be available on other platforms.
We reserve the right to modify, suspend, or discontinue any App or feature at any time, with or without notice. We will make reasonable efforts to notify users of significant changes.
4. Your Account
- You may use our Apps as a guest without signing in. Content created in guest mode is stored only on your device and is not synced or backed up.
- Signing in with Apple or Google enables cloud sync, cross-device availability, and device linking.
- You are responsible for keeping your sign-in credentials and your device secure. Notify us at [email protected] if you suspect unauthorized access.
- Device-linking codes are short-lived (3-minute TTL) and single-use. Do not share them with anyone you do not intend to grant account access.
- You must provide accurate, current, and complete information when creating or updating your account.
- You may delete your account at any time from Profile → Account → Delete Account within the App. Deletion is permanent. See our Account & Data Deletion policy.
- We reserve the right to suspend or terminate accounts that violate these Terms.
5. Your Content
You retain full ownership of the content you create inside our Apps — including titles, items, notes, icons, colors, and completion records (collectively, your "Content").
By using our Apps, you grant INNOVASFT a limited, non-exclusive, worldwide, royalty-free license to store, process, sync, and display your Content solely for the purpose of providing the Apps' features to you. This license ends when you delete your Content or your account, except to the extent retention is required by law.
You are responsible for the legality and appropriateness of your Content. You represent and warrant that your Content does not violate any applicable law or infringe any third-party rights.
6. Acceptable Use
You agree not to:
- Use our Apps for any unlawful, harmful, fraudulent, or infringing purpose.
- Reverse engineer, decompile, disassemble, or attempt to extract the source code of our Apps, except where permitted by applicable law.
- Distribute, modify, or create derivative works based on our Apps without authorization.
- Interfere with or disrupt the integrity, performance, servers, or networks of our services.
- Attempt to gain unauthorized access to our systems or to any other user's account.
- Impersonate another person or misrepresent your affiliation with any person or entity.
- Upload malware, illegal content, or content that infringes third-party rights.
- Use automated means (bots, scrapers) to access our services without permission.
7. Purchases & Subscriptions
Some of our Apps offer optional premium features through in-app subscriptions managed entirely by the Apple App Store.
- Pricing: Prices and billing periods are displayed in your local currency inside the App before purchase. Prices may vary by region and are subject to change.
- Auto-renewal: Subscriptions are charged to your Apple ID and automatically renew unless cancelled at least 24 hours before the end of the current billing period. Manage or cancel via Settings → Apple ID → Subscriptions.
- Free Trials: If a free trial is offered, it will convert to a paid subscription at the end of the trial unless cancelled at least 24 hours prior.
- Refunds: All purchases are governed by Apple's refund policy. We are unable to process refunds directly. To request a refund, contact Apple through reportaproblem.apple.com.
- Lapsed Subscriptions: If your subscription ends, free features remain available; premium-only features are re-locked until renewed.
8. Intellectual Property
All content, features, functionality, design, code, trademarks (including "INNOVASFT" and the tagline "Crafting Apps That Simplify Life"), logos, and other intellectual property within our Apps are owned by or licensed to INNOVASFT and are protected by international copyright, trademark, and other intellectual property laws.
These Terms grant you a personal, non-transferable, non-exclusive, revocable license to use our Apps for their intended purpose on devices you own or control. No other rights are granted to you.
9. Third-Party Services
Our Apps integrate third-party services including Apple, Google, and Google Firebase. Your use of these services is subject to their respective terms and policies. We are not responsible for the availability, content, or practices of third-party services, and we disclaim all liability arising from their use.
10. Disclaimers
Our Apps are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, INNOVASFT disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that our Apps will be uninterrupted, error-free, secure, or free of harmful components, nor that any data loss will not occur. You are responsible for keeping your own backups of important data. Your use of our Apps is at your sole risk.
11. Limitation of Liability
To the maximum extent permitted by applicable law, INNOVASFT shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of our Apps.
Our total aggregate liability for any claims arising from or related to our Apps shall not exceed the greater of (a) the amount you paid to us (through the App Store) in the twelve (12) months preceding the claim, or (b) fifty Singapore dollars (SGD 50).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such cases, the limitations above shall apply to the fullest extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless INNOVASFT, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of our Apps, your violation of these Terms, or your violation of any third-party rights.
13. Termination
You may stop using our Apps at any time by uninstalling them and, if applicable, deleting your account (see our Account & Data Deletion section).
We may suspend or terminate your access to our Apps at any time if you violate these Terms, with or without prior notice. Upon termination, your right to use the Apps ceases immediately, and any surviving provisions of these Terms (including Sections 8, 10, 11, 12, and 14) shall remain in effect.
14. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to conflict of law principles.
Any dispute arising out of or in connection with these Terms shall first be resolved through good-faith negotiation. If no resolution is reached within 30 days, the dispute shall be submitted to the exclusive jurisdiction of the courts of Singapore.
Nothing in these Terms shall limit your rights under mandatory consumer protection laws in your jurisdiction that cannot be waived by agreement.
15. Changes to These Terms
We may revise these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page and provide notice through our Apps. Your continued use of our Apps after changes take effect constitutes acceptance of the revised Terms.
